1. Acceptance of Terms
Welcome to OpenMic. These Terms of Service ("Terms") govern your access to and use of the OpenMic mobile application, website, and related services (collectively, the "Service") operated by OpenMic Productions Inc. ("we," "our," or "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
2. Eligibility
You must be at least 13 years old to use OpenMic. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian. By using OpenMic, you represent that you meet these requirements and that all registration information you submit is accurate and truthful.
3. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or harmful purposes.
4. User Content
4.1 Ownership
You retain ownership of the videos, audio, comments, and other content you create and upload to OpenMic ("User Content"). We do not claim ownership of your User Content.
4.2 License You Grant Us
By submitting User Content, you grant OpenMic a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, adapt, distribute, and perform that content for the purpose of operating, promoting, and improving the Service. This license ends when you delete your User Content, except to the extent it has been shared with others who have not deleted it, or where retention is required by law.
4.3 Your Responsibilities
You represent and warrant that you own or have the necessary rights, licenses, and permissions to your User Content — including any music, performances, or other material it contains — and that it does not infringe the rights of any third party.
5. Prohibited Conduct
You agree not to use the Service to:
- Post content that is unlawful, infringing, defamatory, obscene, hateful, or harassing
- Infringe the intellectual property, privacy, or other rights of others
- Impersonate any person or misrepresent your affiliation with anyone
- Upload viruses, malware, or any code intended to disrupt the Service
- Attempt to gain unauthorized access to the Service or other users' accounts
- Engage in spam, manipulation of rankings, fake engagement, or fraudulent activity
- Use automated means to scrape, harvest, or collect data from the Service
6. Auditions, Rankings, and Discovery Features
OpenMic includes community auditions, ranking tiers, leaderboards, and discovery features. Rankings and visibility scores are determined by factors that may include engagement, virtual gifts, consistency, and content quality, and may change at any time. We make no guarantee that participation will result in any particular ranking, audience size, industry attention, professional opportunity, or other outcome. We reserve the right to adjust, recalculate, or reset rankings and to remove content or accounts that manipulate these systems.
7. Virtual Items, Coins, and Gifts
The Service may allow you to purchase virtual coins and use them to send virtual gifts. Virtual items have no monetary value, are non-transferable, and are non-refundable except where required by law. All purchases are processed through the Apple App Store and are subject to Apple's terms. We may manage, modify, or discontinue virtual items at any time. Any creator earnings, payouts, or monetization features are subject to additional terms and eligibility requirements we may provide separately.
8. Live Streaming
If you broadcast live content, you are solely responsible for that content in real time and agree it will comply with these Terms. Live broadcasts may be recorded and made available as on-demand videos on your profile. We may interrupt or terminate any stream that violates these Terms or applicable law.
9. Intellectual Property
The Service, including its software, design, logos, and trademarks, is owned by OpenMic Productions Inc. and protected by intellectual property laws. Except for your User Content, you may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.
10. Copyright and DMCA
We respect intellectual property rights and expect our users to do the same. If you believe content on OpenMic infringes your copyright, please contact us at daniel@openmicprod.com with a detailed notice. We will respond to valid notices and may remove infringing content and terminate repeat infringers.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at our discretion, including for violations of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.
12. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
13. Limitation of Liability
To the maximum extent permitted by law, OpenMic Productions Inc. and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of or inability to use the Service.
14. Indemnification
You agree to indemnify and hold harmless OpenMic Productions Inc. from any claims, damages, liabilities, and expenses arising out of your User Content, your use of the Service, or your violation of these Terms or the rights of any third party.
15. Governing Law
These Terms are governed by the laws of the jurisdiction in which OpenMic Productions Inc. is established, without regard to conflict of law principles. Any disputes will be resolved in the courts of that jurisdiction, unless otherwise required by applicable law.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
